Gerardo obtained his Law degree (JD/LL.B. equivalent) from Universidad Anahuac (Mexico City) in 2006. He also obtained a degree of Master of Business Administration (MBA) at the Graduates School of Business Management (EGADE) of the Instituto Tecnológico de Monterrey (TEC) in 2011. In 2008 he obtained a post-graduate degree diploma (diplomado) in Business Law from the Instituto Tecnológico Autónomo de México (ITAM) and in 2015 he earned a Business Law Specialization degree from the Escuela Libre de Derecho. He is currently pursuing a D-1 Management Program at IPADE Business School in Mexico City for which he is a candidate for 2017.

Gerardo has participated as co-author and contributor on different publications in Mexico and abroad, most notably “Anti-bribery in Latin America” by Practical Law Company in 2013. He is a Professor of the Negotiation Seminar and Legal English Course at the Masters on Business Law at Universidad Anáhuac del Sur in México City as well as an Adjunct Professor of Transactional Real Estate in different post-graduate courses at ITAM in Mexico City.

He is Spanish native speaker and is fluent in English and versant in French.

Before founding the Firm, Gerardo worked in DRB Abogados (2010-2011), Creel, García-Cuéllar, Aiza y Enríquez. (2006-2010), Pfizer México (interim 2009) and Becker & Becker Abogados (2004-2006).

  • AMB Property Corporation, in a due diligence process of contracts as well as real estate, corporate and antitrust documentation in connection with the acquisition of interests in G-Acción, S.A. de C.V., its Mexican subsidiaries and assets.*
  • Banco Mexicano de Comercio Exterior (International Trade Mexican Bank, “BANCOMEXT”), in connection with corporate and real estate due diligence, as well as negotiation of related aspects of secured financings for the development of industrial/infrastructure projects in México, D.F. and Baja California.
  • BTS Development, in connection with its $25 million dollar secured financing obtained from the Mexican Government (through BANCOMEXT) for the development of industrial and retail projects in Mexico.
  • Fidelity National Title de México, with protection of personal data matters.
  • Grupo Marhnos, in connection with the negotiation of a US$1billion dollar joint venture with Prudential Real Estate Investors to develop industrial properties in Mexico, as well as advice and implementation of corporate governance policies.
  • IGS, in connection with the negotiation and legal implementation of joint ventures with its international business partners of the real estate industry for the development and investments in real property in Mexico.
  • Inspired Gaming Group Limited, in connection with the documentation of guaranties for a £50 million pound credit facility for its Mexican subsidiary, as well as with corporate and contract matters for the startup of Inspired Gaming Mexico.
  • Palmilla Land Ventures, in the acquisition of distressed assets in the State of Baja California Sur.
  • Pfizer Mexico, prior to the foundation of the Firm, as Coordinator of the Legal Department for the Latin America and Caribbean region in connection with different license and distribution agreements, as well as sundry corporate matters.* Currently with corporate, contracts and foreign investment matters.
  • Prudential Real Estate Investments Latin America (PREILA) in the antitrust filings with the Federal Competition Commission, derived from the acquisition of shopping centers and other realty in the State of Nuevo Leon and the Federal District.*
  • Starwood Hotels Group, with corporate matters for all its Mexican subsidiaries.*
  • State Bank of India, in connection with its real estate secured financing* and refinancing to Acerlan (Matrix Metals’ Mexican Subsidiary).
  • Consorcio Industrial Puebla (“CIPSA”), in the acquisition of a majority stake of one of its subsidiaries from a Dutch conglomerate, as well as with the resolution of disputes concerning minority shareholding issues, among others.
  • Dupont, in several corporate restructuring matters.
  • Global Financial Leasing, in connection with the development and implementation of pure and secured leasing agreements, among other financial instruments for its operations in Mexico.
  • Grupo Escato, in the acquisition of new business lines and their expansion into the USA and Europe, development of its worldwide production and designing plant in Lerma, State of Mexico and negotiation of turn-key projects with banking and telecommunication companies.
  • JLL (formerly Jones Lang LaSalle), in the due diligence, contract structuring and negotiation for commercial and office projects in Mexico involving securitization, brokerage, marketing and business matters.
  • Redbrick Capital, in the legal development of its corporate, financial, regulatory and operational structure for the creation of a real estate portfolio through acquisitions of office, hospitality and commercial real properties across the Mexican Republic.
  • Walmart, in the legal due diligence and negotiation of land acquisitions and long-term land leases for new stores in the Mexican Republic.

The Firm represents an array of investors, both domestic and foreign, including developers, construction companies and funds with real estate portfolios and investments in all areas of the real estate business in Mexico: industrial, commercial (including offices, retail and tourism-hotel deals/hospitality) and residential.

  • Structuring of owner-property regimes for different uses (including mixed-uses), as well as legal advice for the construction, supervision and development of real properties in Mexico.
  •  Legal due diligence and structuring for the acquisition and disposition of real estate distressed assets, as well as the separation of real properties from the agrarian regime and compliance with various regulatory covenants, such as land use and zoning and environmental, among others.
  • Joint ventures and M&A transactions with real estate and infrastructure components.
  • Negotiation of title insurance policies and escrow transactions.
